We have no doubt that both the current participant directors would comply with a court determination that arrears were due and payable and would pay them. So the conflict would not arise. In the unlikely event that either of them failed to do so a conflict would arise and the Freehold Company’s Articles provide means by which that conflict can be resolved. The participant shareholders can vote to remove a participant director who is not acting as they should in these or similar circumstances.
